STANDARD TERMS AND CONDITIONS OF SALE


A 50% deposit is required to secure your order, with the remaining balance due upon delivery. Please ensure payment is made to the following account.

Heather Jones International Limited (HJIL) Terms and Conditions (Updated Monday, Feb 4th, 2021)

1. Booking Production


  • Timeline: Bookings must be made 6 weeks prior to the production start date, subject to factory capacity.

  • Deposit: To secure a production date, a deposit is required 6 weeks prior to the start date or upon acceptance of the Purchase Order (P.O.), unless otherwise agreed in writing.
    2. Quotes

    • VAT: All quoted fees exclude VAT.

    • Basis: Quotes are per unit plus VAT.

    • Development Services: Quoted in hours multiplied by our Development Rate.
      3. Production Pricing

• Unit Pricing: Productions are priced per unit plus VAT.

4. Development Rate

• Rate: $50.00 USD per hour plus VAT (effective Feb 1st, 2021).

5. Deposits/Payment Terms


  • Deposit Deadline: Due 6 weeks prior to production start date.

  • Development Work: Pro-forma basis, paid in full before work begins.

  • Production Payments:

o Under $20,000 USD: Full payment 6 weeks prior.

o Over $20,000 USD: 75% 6 weeks prior, 25% on delivery. • Late Payments: Interest of 4% weekly on outstanding amounts.

6. Change Orders

• Fee: $150.00 USD per change plus development rate hours.

• Examples: Style changes, fabric shortages, restitching, unpicking, repackaging, relabeling, rescheduling due to material delays.

7. Tech Pack


  • Responsibility: Client must ensure tech pack matches the final sample.

  • Inspection: Check pre-production sample to avoid discrepancies.
    8. Specifications


  • Requirements: Full technical specifications from clients.

  • HJIL Interpretation: Based on provided information without recourse.
    9. Delays of Materials


  • Impact: Delays may change pricing and schedule.

  • Holding Period: 48 hours for material arrival, then cancellation/rescheduling fees apply.
    10. Fabric and Trims


  • Client Responsibility: Provide fabric and trims by the agreed date.

  • Inspection: Clients must inspect fabric before delivery to HJIL.
    11. Grading


  • Recommendation: Test grades with a sample set.

  • Third-Party Responsibility: HJIL not responsible for grading delays/mistakes.
    12. Quality Control

• Checks: Effective quality checks are performed. Specific checks to be agreed in advance.

13. Cancellation of Production

• Charge: 30% charge for cancellations prior to production start.

14. Termination


  • Immediate Termination: For breach of contract unremedied within 7 days.

  • Client Termination: Payment for work done up to notice of termination.

15. Delivery Charges


  • Carrier: DHL Express for all shipping.

  • Client Liability: Charges for carriage, packaging, insurance.

  • Payment Requirement: All invoices must be paid before delivery.
    16. Best Practices in Practice Standards


  • Online Purchases: Accurate descriptions and photos; 14-day return policy for defective items.

  • In-Store Purchases: Encouragement to inspect products before purchase.

  • Returns: Must be in original condition; return shipping costs on the customer unless
    defective.

  • Refunds and Exchanges: Processed within 7-10 business days.
    17. General


  • No Waiver: Delay in exercising rights is not a waiver.

  • Entire Agreement: This contract supersedes all prior agreements.

  • Jurisdiction: Governed by Trinidad and Tobago law, exclusive jurisdiction of its courts.
